Minutes
The meeting was called to order at 6:40 PM and members were welcomed. Present were President Ed Cooke, First & Second Vice Presidents Michael O'Connor and John Wright, Secretary & Board member Carroll Cameron, Treasurer David Russell, Historian Dan Fitzgerald; Board chairman, Tom Dunn; Board members Louise Nolan-Batista, Mary Ann Fierro, Karen Dunn, Bill O'Brien, Bill Gregory, Billy Cameron, Sean Hayes, members John Doherty, Jim Cooney, Michael McDerrmott, and guest Thelma Hayes.
The Pledge to the Flag was led by Dan Fitzgerald.
The Order of Business was adopted.

President's Report (Ed Cooke)
President Cooke reported that the night's focus was to be on organizing functions for the year. Two task forces were created. The first task force was given a goal of raising $10,000, largely by selling advertizing. The members of that task force are Cooke, O'Brien, and Nolan-Batista. The second task force was given a goal of increasing membership. Members of that tast force are Cooke, O'Connor, Wright, Fitzgerald, Hayes, Fierro, B. Cameron, and McDermott.
Directive: Finance and membership task forces are to report in 90 days, at August Board meeting.
Parliamentary procedure will be followed. Directors will be called on first, in the order they ask to be recognized. Sgt. at Arms will be asked to participate on committees.
David Russell was ratified as the new Treasurer.
President Cooke changed the order of business to consider the treasurer's report later.
A committee meeting was held at Mike's at Plaza Venetia to review St. Patrick's festival.

Minutes from last meeting (Carroll Cameron)
The minutes of the April meeting were approved. The resignation of John Doherty from the Board has left a void in the position of website liaison. The position must be filled ASAP so that the minutes can be posted on the website.
Directive: Cooke to appoint a website liaison.
Old Business
St. Patrick's Festival
Michael O'Connor to chair St. Patrick's festival, date will be March 15, 2003.
Proposed budget presented by Russell and ratified by the Board.
Directive: From President Cooke to Tom Lynch, Judi Sheri, and Louise Nolan-Batista to assess various sites for the festival for both 2003 and 2004, including fixed costs for permits, letters of intent, underwriting, and other line items. Reporting date in 7/11/02.
Motion by O'Conner to have 2003 festival at Hartnett Park. Second by Fitzgerald. Motion Passed.
Directive: To O'Connor to negotiate contract with Coral Gables for Festival at Hartnett Park.
Directive: To Festival site committee to keep O'Connor informed of their negotiations for alternate sites to Hartnett Park.
Christmas in Killarney
Three sites were investigated (Calusa Country Club, Signature Gardens and Elks Lodge 948) and their proposals were submitted to the Board. Elks club has room for 400 attendees. Price for meals will be about $20.00/dinner. Cash bar with beer at $2.00, mixed drinks $2.50. Motion by C. Cameron to accept proposal submitted by the 948 Elks Lodge at 103 Ave and Sunset. Second by B. Cameron. Motion passed. Discussion about entertainment and dates. Motion by C. Cameron to give O'Connor and Fitzgerald the authority to set the date and contract with an entertainer. Second by B. Cameron. Discussion: Date will be in December. Tony Kenney is first choice for entertainment. Motion passed.
Directive: O'Connor and Fitzgerald to have final report on negotiations for Christmas in Killarney ready by next board meeting.
O'Connor, Fitzgerald, and O'Brien appointed to Christmas in Killarney committee. No chair was appointed.
Newsletter report
Given by Ed Cooke for Stu Robinson. Postage will be donated by Tom Flynn. Newsletter is ready and volunteers are needed to collate and fold.
Corporate filings and reports
Directive: Cooke, O'Connor, and Russell to assist Tom Longman and Chris Kelley with the filing of new corporate papers, registering with the state, and regaining 501(c)(3) status.
Russell distributed new bylaws.
Directive: Board members to review new bylaws, email any changes or corrections to Russell and be prepared to amend and adopt the bylaws by the next board meeting.

Treasurer's Report (David Russell)
The treasurer gave detailed reports which are attached to these minutes. In addition:
Budgets were prepared for all major Emerald Society functions. Cash on hand in Festival account is about $2500.00. Phil Johnson is negotiating with the binding company for a rebate on the books that were bound with pages missing.
Budgets were presented for Christmas in Killarney and St. Patrick's festival.
The Society's bank, Total Bank, is under investigation for improper management.
Motion by O'Conner to accept the proposed budgets. Second by O'Brien. Motion passed.
Motion by Russell to move the Society's accounts to a sound, major national bank with many branches so that banking would be more convenient for the society. Second by B.Cameron. Motion passed.
Motion by Wright to accept the treasurer's report. Second by O'Brien. Motion passed.
Directive: Russell to move Emerald Society accounts to a new bank.
New Business
Independence Day on Key Biscayne
Billy Cameron to chair committee with Jim Cooney & Lousie Nolan Batista as assistants. Budget of $125 for refreshments. The Emerald Society and the Law Enforcement Emerald Society will meet at 9:30 AM at the parking lot of St. Agnes Catholic Church. Flags and Banners will be delivered to Tom Flynn's house on July 1, 2002. Michael O'Hara, Director of Breffni Academy of Irish Dance will march with us. The Law Enforcement Emerald Society will contribute a float in memorium to the twin towers. The throwing of candy will not be not allowed due to insurance problems, but adults marching in the parade can hand candy out. Members and guests are invited to the Key Biscayne yacht club and to the Key Biscayne beach club after the parade, as guests of Tom Flynn.
Directive: Ed Cooke to deliver banners and flags to Tom Flynn by July 1, 2002.
Finance Committee
President Cooke appointed Russell to head a finance committee with members to be O'Brien, Chris Kelley, Phil Gallagher, Jim Cooney, John Wright.

July either Trattoria Luna (95th & S. Dixie) or Jakes (Shoppes at Sunset & Red Road)

Resignation of Karen Dunn from Board.

Motion by Hayes not to accept impromptu resignations. Second by O'Brien. Discussion led by Gregory, Hayes, and O'Brien with these items to consider:
a) the board should encourage among its members a friendly spirit of mutual cooperation;
b) the agenda must be broad and flexible enough to allow board members to respond to all items of business (whether in opposition on in support);
c) all business should be conducted professionally and with civility;
d) all board members have a right to be heard in response to business of the board.
Discussion to streamline the agenda to a single page listing to items that are general topics to avoid overwhelming the Board and to allow for more flexibility. Discussion on the fact that the Society has no mechanism to replace the Chairman of the Board if that spot becomes vacant. Motion reread by C.Cameron. Motion passed.

Directive: Fitzgerald to keep files on new members.
Directive: All sponsors are to bring their new sponsored members to member/social meetings, make sure they are pinned and initiated, and see that they are welcomed into the Society.
Motion to adjourn by C. Cameron. Meeting adjourned at 9:45 PM.
